Terms of Service

These terms govern your access to and use of the Shesha Commerce platform. Please read them carefully.

1. Agreement

By creating an account or using the Shesha Commerce platform (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you are accepting on behalf of an organisation, you represent that you have the authority to do so and that the organisation agrees to these Terms.

These Terms are governed by the laws of South Africa, including the Electronic Communications and Transactions Act 25 of 2002 (“ECTA”), the Consumer Protection Act 68 of 2008 (“CPA”), and POPIA. The parties consent to the exclusive jurisdiction of the courts of South Africa for any disputes.

2. The Service

Shesha Commerce provides a software-as-a-service (SaaS) platform that allows merchants to create and manage online storefronts, including a drag-and-drop page builder, product catalog management, multi-brand support, order management, and related tools.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice. We will not discontinue the Service in its entirety without at least 90 days' written notice to subscribers.

3. Accounts

You must provide accurate information when creating your account. Your organisation slug becomes part of your storefront URL and may not be changed after creation without contacting support. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

You must be 18 years or older to create an account. By accepting these Terms you confirm that you meet this requirement.

4. Subscription and billing

Access to the Shesha Commerce platform is billed at R250 (two hundred and fifty rand) per month, excluding VAT where applicable. Pricing is displayed inclusive of any applicable VAT for South African subscribers.

All new accounts receive a 30-day free trial. No credit card is required to start the trial. At the end of the trial period, you will be prompted to add a payment method to continue using the Service. Access is suspended (not deleted) if payment is not received.

Subscriptions renew automatically on the same date each month. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period and you retain access until then. We do not offer pro-rata refunds for partial months except where required by the CPA.

We reserve the right to change pricing with at least 60 days' written notice to existing subscribers. Price changes do not apply retroactively to the current billing period.

5. Acceptable use

You may not use the Service to:

  • Sell counterfeit, illegal, or prohibited goods under South African law.
  • Engage in fraudulent transactions or misrepresent your business to customers.
  • Infringe intellectual property rights of third parties.
  • Transmit malware, spam, or unsolicited communications.
  • Attempt to gain unauthorised access to the platform or other users' accounts.
  • Violate any applicable laws or regulations.

We may suspend or terminate your account immediately if we reasonably determine that you have violated these restrictions.

6. Your content and data

You retain all ownership of the content you upload to the Service (product images, descriptions, branding, etc.). You grant Shesha Commerce a limited licence to host, store, and display that content solely for the purpose of providing the Service to you.

You are responsible for the accuracy of your product listings, pricing displayed to your customers, and compliance with consumer protection laws (including the CPA) in your dealings with end-customers. Shesha Commerce is a platform provider and is not a party to the transactions between you and your customers.

7. Data and privacy

We process personal information as described in our Privacy Policy, which forms part of these Terms. By using the Service, you acknowledge and agree to those practices.

For personal information of your end-customers that you process through Shesha Commerce, you are the responsible party under POPIA and we are the operator. You must have a lawful basis for collecting and processing your customers' information and must maintain your own privacy notice.

8. Intellectual property

The Shesha Commerce platform, including its software, design, trademarks, and documentation, is owned by Shesha Commerce (Pty) Ltd. Nothing in these Terms transfers any intellectual property rights to you. You may not copy, decompile, or create derivative works of the platform.

9. Uptime and support

We target 99.5% monthly uptime, excluding scheduled maintenance windows communicated in advance. Support is available by email at hello@shesha-commerce.com during South African business hours (Monday to Friday, 08:00 – 17:00 SAST). We aim to respond to all support requests within one business day.

10. Limitation of liability

To the maximum extent permitted by South African law, Shesha Commerce's total liability to you for any claims arising from these Terms or the Service is limited to the fees paid by you in the three months preceding the claim.

We are not liable for indirect, consequential, or special damages, including loss of revenue or profits, arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

11. Termination

Either party may terminate the agreement by cancelling the subscription (you) or by giving 30 days' written notice (us), except in the case of a material breach, where either party may terminate immediately. Upon termination, your access to the Service ceases at the end of the paid period. We will retain your data for 90 days after termination so you can export it; after that, it is permanently deleted.

12. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes your acceptance. If you do not accept the revised Terms, you may cancel your subscription before they take effect.
